Vendor Agreement –
Support Portsmouth Public Art (SPPA) Art Market

​This Vendor Agreement (“Agreement”) is entered into between "Support Portsmouth Public Art (SPPA)" (“Organizer”) and the vendor (“Vendor”) for participation in the upcoming SPPA Sponsored Art Market (“Market”).

1. Application Review & Acceptance

All vendor applications, including submitted portfolios, are subject to review by the Executive Board of SPPA. Applications may be declined at the discretion of the Board if it is determined that the vendor’s offerings are not in alignment with the Market’s vision, goals, or community standards. This process is intended to ensure a balanced and welcoming marketplace for all participants and attendees.

2. Booth & Equipment

Acceptance of an application entitles the Vendor to **ONE (1) 10' x 10' SPACE** at the Market. The Organizer will NOT provide any physical equipment, only the space for setup. Vendors are responsible for supplying all additional equipment necessary for their setup, including but NOT LIMITED to:

  - Tables

  - Tents or canopies
  - Retail fixtures and display stands
  - Payment systems and cash handling
  - Banners, signage, and other advertising materials

3. Payment & Refund Policy

A fee is required with each application to reserve a space. Fees are non-refundable if the Vendor cancels within seven (7) days of the Market date. If cancellation occurs more than seven (7) days prior to the Market, the Vendor may request a refund of the fee. In the event the Market is canceled by the Organizer, fees will be fully refunded.

4. Vendor Responsibilities

Vendors must comply with all applicable local, state, and federal laws, including any required permits or licenses. Vendors are responsible for maintaining a safe and professional environment within their booth space. Vendors agree to conduct themselves in a manner that reflects positively on the Market and SPPA.

If you use a canopy, you MUST use canopy weights for your legs. The weights should be in accordance with your canopy manufacturer's recommendations. A clear area of at least 36" MUST be allowed in front of vendor space for pedestrians and wheelchairs.

5. Product Requirements

 

All items sold at the Market must be artwork produced by or at least designed by the Vendor themselves. NO RESALE of commercial or wholesale items is permitted. 

Non-Permitted Items include, but are NOT LIMITED to:

 

- Sanrio keychains

- Stickers, pins, and other wholesale items purchased for resale

- Re-prints of artwork not created by the vendor

- Products using trademarked or copyrighted logos/art of existing IPs, including sports logos.

Derivative art and fan art of existing IPs is permitted. Vendor agrees to submit to SPPA for approval upon request. 

6. Licenses

Upon request, Organizer is required to send a list of vendors to the Commissioner of the Revenue's office. They will consider each vendor and possibly contact them to determine if they will need a business license. The Commissioner of the Revenue's Office may issue exemptions, but these decisions are not influenced or determined in any capacity by SPPA. You may be required to file additional forms to The Commissioner of the Revenue’s office if requested.

 

5. Indemnification

Vendor agrees to indemnify and hold harmless Support Portsmouth Public Art (SPPA), its officers, members, and volunteers, from any and all claims, damages, losses, or expenses arising from participation in the Market, except where such claims arise solely from the negligence or willful misconduct of the Organizer.
